Terms of Service

1. Overview

PackVault ("Platform", "we", "us", or "our") provides an online platform that connects buyers and sellers of trading card products, including sealed products. By creating an account, accessing, or using PackVault, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

2. Eligibility

You must be at least 18 years of age to use PackVault. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Platform on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

3. Platform Role

PackVault is not the seller of any items listed on the Platform. All transactions occur directly between buyers and sellers. PackVault acts solely as an intermediary. We do not take ownership, possession, or custody of inventory at any time. PackVault does not verify, endorse, or guarantee any listing, seller, or product on the Platform.

4. User Accounts

You agree to provide accurate and complete information during registration. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. We may suspend or terminate accounts at any time, for any reason, with or without notice, at our sole discretion.

5. Seller Responsibilities

Sellers are solely responsible for: product authenticity and condition; accurate listings and descriptions; compliance with all applicable laws, regulations, and tax obligations (including sales tax collection and remittance); proper packaging and timely shipping; and maintaining adequate inventory for active listings.

Sellers represent and warrant that: all products listed are authentic and not counterfeit; sealed products have not been tampered with, searched, weighed, or resealed; they have legal right and authority to sell the listed items; and all listing information is truthful and not misleading.

PackVault does not provide tax advice and is not responsible for the collection or remittance of any taxes on behalf of sellers. Sellers are solely responsible for determining and fulfilling their tax obligations.

6. Orders and Fulfillment

Once a buyer completes a purchase, a binding contract is formed between the buyer and seller. Sellers must ship orders within their stated handling time. Tracking information may be required for orders above certain thresholds. Sellers bear the risk of loss until delivery is confirmed. PackVault may intervene in disputes between buyers and sellers at its sole discretion but is not obligated to do so.

7. Returns, Refunds, and Disputes

PackVault may issue refunds in the following circumstances: item not received within a reasonable timeframe; item significantly not as described; suspected fraud or policy violations; or seller fails to ship within the stated handling time.

We reserve the right to: reverse transactions; deduct funds from seller account balances; issue refunds to buyers without prior seller approval; and make final determinations on disputes. Refund requests must be submitted within 30 days of the transaction date. PackVault's determination on disputes is final and binding on both parties.

8. Payments and Fees

PackVault collects payments from buyers as a limited payment agent on behalf of sellers. Fees may include platform usage fees, payment processing fees, and other charges as disclosed on the Platform. Fee rates are subject to change with notice.

We reserve the right to: hold funds for up to 30 days or longer if fraud is suspected; delay payouts pending verification or investigation; deduct fees, refunds, chargebacks, or penalties from seller balances; and set minimum payout thresholds.

9. Fraud, Chargebacks, and Suspicious Activity

Users are responsible for any fraudulent activity associated with their account and any chargebacks or payment disputes initiated against transactions on the Platform.

PackVault may: recover funds from sellers for chargebacks or fraudulent transactions; freeze, suspend, or permanently terminate accounts; withhold payouts during investigations; report suspected fraud or illegal activity to law enforcement; and cooperate with law enforcement investigations. PackVault reserves the right to report suspicious activity as required by applicable law.

10. Prohibited Conduct

Users may not: list counterfeit, stolen, or illegal items; manipulate pricing, feedback, or activity; cancel orders to relist at higher prices (price manipulation); use the Platform for money laundering or other unlawful purposes; create multiple accounts to circumvent suspensions or restrictions; harass, threaten, or abuse other users; interfere with the proper functioning of the Platform; or scrape, crawl, or use automated means to access the Platform without our express written permission.

11. Intellectual Property

Users may only upload content they have the rights to use. By uploading content to PackVault, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with the Platform.

PackVault is not liable for copyright infringement or unauthorized use of images or content by users. If you believe your intellectual property rights have been violated, please contact us with a detailed description of the alleged infringement.

PackVault, the PackVault logo, and related marks are trademarks of PackVault. TCGPlayer is a registered trademark of TCGPlayer, Inc. Pokémon is a registered trademark of The Pokémon Company. PackVault is not affiliated with, endorsed by, or sponsored by any of these entities.

12. Assumption of Risk

Trading card products, including sealed products, are subject to significant price fluctuations. PackVault does not guarantee the value, future value, or investment potential of any product listed on the Platform. Any pricing data, market prices, or price history displayed on the Platform is for informational purposes only and should not be relied upon as financial advice. Users acknowledge and accept all risks associated with buying and selling trading card products.

13. Platform Availability

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee continuous or uninterrupted availability, accuracy of pricing data or market information, error-free operation, or that the Platform will meet your specific requirements.

14. Limitation of Liability

To the maximum extent permitted by applicable law, PackVault shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, regardless of the cause of action or theory of liability.

PackVault shall not be liable for disputes between buyers and sellers, product defects, authenticity issues, or misrepresentations by sellers, shipping delays, loss, or damage, or any third-party actions or services.

Our total aggregate liability for any and all claims arising from or related to the Platform shall not exceed the total amount of fees actually paid by you to PackVault during the twelve (12) months immediately preceding the event giving rise to the claim.

15. Release

You hereby release PackVault and its officers, directors, employees, agents, and affiliates from any and all claims, demands, and damages of every kind and nature, known and unknown, arising out of or in any way connected with transactions between users, product defects or authenticity issues, shipping or delivery problems, and disputes with other users.

16. Indemnification

You agree to indemnify, defend, and hold harmless PackVault and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: your use of the Platform; your violation of these Terms; your violation of any applicable law or regulation; any product you sell through the Platform; or any dispute between you and another user.

17. Termination

We may suspend or terminate your account at any time, for any reason, with or without notice. Upon termination, we may: remove your listings without notice; withhold funds during ongoing investigations or disputes; retain funds to cover pending refunds, chargebacks, or fees; and delete your account data after a reasonable retention period. You may terminate your account at any time by contacting us, subject to any outstanding obligations.

18. Dispute Resolution

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration administered by the American Arbitration Association, conducted in Maricopa County, Arizona.

You agree to waive your right to participate in class actions or class-wide arbitration. Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction, and claims that qualify for small claims court may be brought in small claims court in Maricopa County, Arizona.

19. Force Majeure

PackVault shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, power failures, internet disruptions, or third-party service outages.

20. Privacy

Your use of the Platform is also governed by our Privacy Policy. By using PackVault, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

21. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

22. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and PackVault regarding your use of the Platform, and supersede all prior agreements, understandings, and communications.

23. Changes to Terms

We may update these Terms at any time by posting the revised version on the Platform. Material changes will be communicated via email or prominent notice on the Platform. Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms. If you do not agree with any changes, you must stop using the Platform.
