Seller Agreement

1. Seller Eligibility and Verification
To sell on PackVault, you must: be at least 18 years of age; be legally able to enter into binding contracts; comply with all applicable federal, state, and local laws and regulations; and provide accurate personal, business, and tax information.
PackVault may require identity verification at any time, including but not limited to: government-issued photo identification, proof of address, tax identification numbers (SSN or EIN), and bank account verification. Failure to provide requested verification may result in account suspension or fund holds.
2. Product Standards and Authenticity Guarantee
Sellers represent and warrant that: all items listed are genuine and authentic; sealed products have not been opened, tampered with, searched, weighed, or resealed; all listings accurately describe the product's condition, contents, and any relevant details; products comply with all applicable safety and consumer protection laws; and sellers have clear legal title and the right to sell all listed items.
Sellers found listing counterfeit, tampered, or misrepresented products will face immediate account termination, forfeiture of pending payouts, and potential legal action. PackVault may report suspected counterfeit activity to law enforcement and intellectual property rights holders.
3. Pricing and Listings
Sellers are solely responsible for: setting accurate prices; maintaining accurate inventory counts; updating or removing listings promptly when items are no longer available; and ensuring listings do not violate any PackVault policies.
PackVault is not liable for: pricing errors made by sellers; inventory synchronization issues; or lost sales due to listing inaccuracies. PackVault reserves the right to remove, modify, or de-list any listing at its sole discretion without prior notice.
4. Fulfillment and Shipping Requirements
Sellers must: ship orders within the handling time stated in the listing, not to exceed 3 business days unless otherwise specified; use appropriate protective packaging to prevent damage during transit; provide valid tracking information for all orders; and ship using a carrier with delivery confirmation.
For orders with a total value of $50 or more, sellers are strongly encouraged to purchase shipping insurance. For orders with a total value of $250 or more, sellers must use signature confirmation. PackVault is not responsible for any shipping delays, losses, or damages caused by the carrier.
5. Risk of Loss
Sellers bear all risk of loss, damage, or theft for shipped items until delivery is confirmed by the carrier's tracking system. If a shipment is lost, damaged, or stolen in transit, the seller is solely responsible and must either reship the order or issue a full refund. Failure to resolve shipping issues may result in PackVault issuing a refund to the buyer and deducting the amount from the seller's balance.
6. Performance Standards
Sellers are expected to maintain the following performance standards: order cancellation rate below 3%; late shipment rate below 5%; valid tracking rate above 95%; and a buyer dispute rate below 2%.
Sellers who consistently fail to meet these standards may face: listing restrictions; reduced visibility in search results; temporary suspension; permanent account termination; or withholding of funds.
7. Returns, Refunds, and Disputes
PackVault may, at its sole discretion: require sellers to accept returns; issue refunds to buyers on the seller's behalf; reverse transactions; and make final, binding determinations on disputes between buyers and sellers.
Sellers agree to comply with all dispute outcomes determined by PackVault. Refund amounts, including original shipping costs, may be deducted from the seller's current or future payouts. Repeated disputes may result in account restrictions or termination.
8. Fees
Sellers agree to pay all applicable fees as disclosed on the Platform, which may include: platform fees (currently 4%); payment processing fees(currently 2.9% + $0.20); and any other fees disclosed prior to listing.
Fee rates are subject to change with 30 days' notice. Continued use of the Platform after fee changes constitutes acceptance. Sellers also accept deductions from their balances for: refunds issued to buyers; chargebacks; penalties for policy violations; and any other amounts owed to PackVault.
9. Payment Terms
PackVault collects payments from buyers as a limited payment agent on behalf of sellers. PackVault may: delay payouts for new sellers or during verification; hold reserves of up to 100% of pending payouts; offset negative balances against future payouts; and withhold funds during active investigations or disputes.
Negative balances must be repaid immediately upon request. If a seller's account has a negative balance upon termination, PackVault may pursue collection through all available legal means. Sellers are responsible for any collection costs and reasonable attorneys' fees.
10. Tax Obligations
Sellers are solely responsible for: determining and collecting applicable sales taxes; remitting taxes to appropriate tax authorities; maintaining accurate tax records; and providing accurate tax identification information to PackVault.
PackVault may be required to report seller earnings to the IRS. Sellers who meet applicable thresholds will receive a Form 1099-K. PackVault may require a completed W-9 form before enabling payouts. PackVault does not provide tax advice and recommends sellers consult a qualified tax professional.
11. Fraud and Risk Controls
PackVault may: monitor seller activity for suspicious or fraudulent behavior; limit listing quantities or transaction volumes; suspend or restrict account features; withhold or freeze funds during investigations; and report suspected fraud or illegal activity to law enforcement.
Investigations may be conducted without prior notice. PackVault's determination regarding fraudulent activity is final.
12. Chargebacks and Payment Disputes
Sellers are fully responsible for: all chargebacks filed against their transactions; fraud-related losses; and any fees or penalties associated with chargebacks.
PackVault may recover chargeback amounts, associated fees, and penalties from the seller's current balance or future payouts. Excessive chargebacks may result in immediate account termination.
13. Non-Circumvention
Sellers agree not to: solicit buyers to complete transactions outside of PackVault; include marketing materials, business cards, or communications in shipments that encourage buyers to transact off-platform; or use buyer information obtained through PackVault for any purpose other than fulfilling orders placed on PackVault.
Violation of this section may result in immediate account termination and forfeiture of pending payouts.
14. Indemnification
Seller agrees to indemnify, defend, and hold harmless PackVault and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: products sold by the seller; product liability or personal injury claims; counterfeit or intellectual property infringement claims; tax obligations or disputes; violations of these Terms or applicable law; and any disputes with buyers.
15. Intellectual Property
Sellers represent and warrant that: all content uploaded to PackVault (images, descriptions, etc.) is owned by the seller or properly licensed; no listing content infringes on third-party intellectual property rights; and sellers will promptly remove any content upon notification of an intellectual property complaint.
Sellers grant PackVault a non-exclusive, worldwide, royalty-free license to use, display, and distribute seller content in connection with operating the Platform.
16. Account Suspension and Termination
PackVault may suspend or terminate seller accounts at any time, for any reason, with or without notice. Upon suspension or termination, PackVault may: remove all active listings; withhold funds for up to 180 days to cover potential refunds, chargebacks, or disputes; deduct any amounts owed to PackVault from the seller's balance; and retain seller data as required by law or for legitimate business purposes.
Sellers may request account closure at any time, subject to: completion of all pending orders; resolution of all open disputes; and settlement of any negative balance.
17. Limitation of Liability
To the maximum extent permitted by law, PackVault shall not be liable for: lost profits or revenue; business interruption; Platform downtime or errors; loss of data; or any indirect, incidental, special, consequential, or punitive damages.
PackVault's total aggregate liability to any seller shall not exceed the total fees actually paid by the seller to PackVault during the twelve (12) months preceding the claim.
18. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the State of Arizona. Any disputes arising from this Agreement shall be resolved through binding arbitration in Maricopa County, Arizona. Class action waiver applies. Either party may seek injunctive relief in court, and claims eligible for small claims court may be brought there.
19. Miscellaneous
This Agreement supplements the PackVault Terms of Service. In the event of a conflict between this Agreement and the Terms of Service regarding seller-specific matters, this Agreement controls. If any provision is found unenforceable, the remaining provisions remain in full force. This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between the seller and PackVault regarding selling on the Platform.
20. Acceptance
By creating a seller account or listing any item on PackVault, you acknowledge that you have read, understood, and agree to be bound by this Seller Agreement in its entirety.
